Real Property Law

Practical, experienced legal counsel for commercial real estate acquisitions, sales, leases, development, and other transactions throughout Oklahoma City and across Oklahoma.

Oklahoma City Real Estate Attorney

Real estate transactions often involve significant financial commitments, long-term obligations, and documents that can affect a business or investment for years. Whether you are buying commercial property, negotiating a lease, developing real estate, selling an asset, or addressing title and ownership issues, experienced legal counsel can help identify risks and keep the transaction moving toward closing.

I represent businesses, property owners, investors, landlords, tenants, developers, and other clients in commercial real estate transactions throughout Oklahoma City and across Oklahoma.

My practice focuses on practical, transaction-oriented legal advice. The objective is not simply to identify legal issues. It is to help clients understand which issues matter, evaluate their options, negotiate appropriate protections, and complete transactions efficiently.

Commercial Real Estate Law in Oklahoma City

Commercial real estate transactions can become complicated quickly.

Even a relatively straightforward purchase may involve a letter of intent, purchase and sale agreement, title commitment, survey, due diligence materials, financing documents, organizational approvals, easements, leases, and closing documents. Larger transactions may involve multiple entities, lenders, investors, tenants, contractors, title companies, brokers, accountants, and other professionals.

An experienced Oklahoma City commercial real estate attorney can help coordinate the legal aspects of the transaction and identify issues before they interfere with closing.

I assist clients with a wide variety of commercial real estate matters, including:

  • Commercial real estate purchases and sales

  • Purchase and sale agreements

  • Letters of intent and term sheets

  • Commercial leases

  • Lease amendments and assignments

  • Title review and title objections

  • Survey review

  • Easements and access agreements

  • Due diligence

  • Real estate entity formation

  • Property ownership structures

  • Development agreements

  • Financing and loan documentation

  • Closing documents

  • Real estate-related contracts

  • Property management and operating agreements

  • Ownership transfers and restructurings

Every transaction is different. My role is to understand the client's objectives, identify the legal issues that could materially affect the deal, and help move the transaction forward.

Commercial Real Estate Purchases and Sales

Buying or selling commercial real estate involves substantially more than signing a contract and appearing at closing.

The purchase and sale agreement establishes the framework for the entire transaction. It may address the purchase price, earnest money, financing, inspection rights, title requirements, closing conditions, representations and warranties, casualty risk, condemnation, default remedies, and numerous other matters.

I assist buyers and sellers in negotiating and documenting commercial real estate transactions from the initial stages through closing.

For purchasers, that may include reviewing title and survey matters, evaluating contractual due diligence rights, identifying restrictions affecting the property, coordinating with lenders and other advisors, and making sure the closing documents accurately reflect the negotiated deal.

For sellers, the focus may include limiting unnecessary post-closing exposure, responding to due diligence requests, resolving title issues, negotiating representations and warranties, and keeping the transaction on schedule.

Commercial Lease Drafting and Negotiation

Commercial leases are among the most important contracts many businesses will sign.

Unlike residential leases, commercial leases are heavily negotiated and can vary significantly from property to property. A lease may govern the relationship between landlord and tenant for five, ten, fifteen, or even twenty years. The economic terms are only part of the analysis.

Commercial leases may address operating expenses, common area maintenance charges, taxes, insurance, maintenance obligations, repair responsibilities, assignment rights, subletting, casualty, condemnation, expansion rights, renewal options, personal guarantees, default remedies, and many other issues.

I represent both landlords and tenants in commercial lease transactions.

Working with both sides of lease negotiations provides useful perspective. Understanding how landlords evaluate risk can help when representing tenants, while familiarity with tenant concerns can help landlords draft clearer and more workable lease documents.

My commercial leasing practice may include:

  • Office leases

  • Retail leases

  • Industrial and warehouse leases

  • Ground leases

  • Lease amendments

  • Lease renewals

  • Assignments and assumptions

  • Subleases

  • Guaranties

  • Letters of intent

  • Estoppel certificates and related documents

The goal is to document the business deal clearly while addressing the legal issues most likely to matter during the life of the lease.

Title and Survey Review

Title problems can significantly affect the value and usability of commercial real estate.

A title commitment may identify mortgages, liens, easements, restrictions, mineral interests, judgments, recorded agreements, and other matters affecting the property.

Some exceptions are routine. Others may create meaningful concerns.

For example, an easement may interfere with planned development. A restrictive covenant may prohibit a particular use. A legal description may not correspond with the property the buyer believes it is purchasing.

Title review is therefore an important part of commercial real estate due diligence.

I assist clients in reviewing title commitments, surveys, recorded documents, and other materials affecting commercial property. When necessary, I can also work with title companies, surveyors, lenders, and other parties to address issues before closing.

Due Diligence and Transaction Risk

One of the most valuable functions of a real estate attorney is helping a client distinguish between a theoretical legal concern and a problem that could materially affect the transaction. Commercial real estate due diligence often involves numerous documents and competing considerations.

Clients may need to evaluate leases, service contracts, zoning matters, title issues, environmental reports, surveys, financing requirements, tenant information, and physical property conditions.

Not every issue deserves the same amount of attention. My approach is to help clients understand what a legal issue means in practical terms.

Does it affect the property's value?

Could it interfere with the intended use?

Can the problem be corrected before closing?

Should the purchase agreement be amended?

Is the issue better addressed through title insurance, an indemnity, an escrow, or another contractual mechanism?

Those questions are often more important than simply identifying that a legal issue exists.

Real Estate Entities and Ownership Structures

Commercial real estate is frequently owned through limited liability companies or other entities.

The ownership structure may affect liability, financing, management, succession planning, and relationships among investors.

I assist clients with the formation and structuring of entities used to acquire and hold real estate, including preparation of operating agreements and other organizational documents. For properties owned by multiple investors, clearly documenting ownership rights and responsibilities can be particularly important.

The operating agreement may address capital contributions, distributions, management authority, transfer restrictions, financing decisions, major property decisions, buyout rights, and procedures for resolving disagreements among owners.

Real estate and corporate law often overlap, and handling both aspects of a transaction can help create a more consistent structure.

A Practical Approach to Commercial Real Estate Transactions

My background has shaped the way I approach real estate and business transactions.

Before entering private practice, I spent approximately eight years working as a field landman with Antero Resources and approximately seven years serving as in-house counsel for a small Oklahoma City energy company.

Those roles involved working directly with contracts, property interests, business relationships, transactions, and the practical challenges that arise when legal issues intersect with business operations.

I have been licensed to practice law in Oklahoma since 2019, and my practice today focuses heavily on transactional matters.

That experience has reinforced a simple principle: clients generally do not hire a lawyer because they want a longer list of problems. They hire a lawyer because they need help completing a transaction while understanding and managing the risks involved.

My role is to help clients identify the issues that matter, explain those issues clearly, and work toward practical solutions.
